Terms of Use

These Terms constitute a legally binding agreement between you and Edscon Investment LTD ("Company", "we", "us", or "our"), a social enterprise incorporated under the laws of Kenya. These Terms apply to all users across all roles: administrators, waste collectors, kitchen managers, distributors, and customers.

We reserve the right to update these Terms at any time. Continued use of the platform following notification of updates constitutes acceptance of the revised Terms.

The Thamani System is an integrated waste management information system provided by Edscon Investment LTD. It enables:

• Digital tracking and traceability of organic waste from source to value addition
• Management of biodigester and green kitchen operations
• Biogas cylinder distribution tracking and last-mile logistics
• Customer accrual management and payment recording
• Carbon credit verification through IoT-enabled data capture
• Data analytics and operational reporting across the waste value chain

The platform combines CRM, ERP, and data analytics capabilities. It is accessed via web browser and may be supplemented by IoT hardware integrations at operational sites.

Account Registration

To access platform features, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account details up to date.

User Roles

The Thamani platform operates on a role-based access model. Each role has defined permissions:

• Administrator — Full access to all modules, reports, and user management
• Waste Collector — Access to waste collection records and assigned collection points
• Kitchen Manager — Access to biodigester operations and kitchen management modules
• Distributor — Access to gas cylinder inventory and distribution management
• Customer — Access to personal accruals, payment records, and open kitchen listings

Account Security

You are responsible for maintaining the confidentiality of your login credentials. You must notify us immediately at info@edsconinvestment.com if you suspect any unauthorised access to your account. We are not liable for any loss resulting from unauthorised account access caused by your failure to secure your credentials.

As a user of the Thamani platform, you agree to:

• Use the platform only for its intended operational purposes within your assigned role
• Enter accurate, truthful, and complete data into all platform modules
• Comply with all applicable Kenyan laws and regulations in your use of the platform
• Respect the role-based boundaries of your account and not attempt to access unauthorised modules
• Not share your login credentials with any other person
• Report any data discrepancies, system errors, or security concerns to your administrator or to Edscon Investment directly
• Co-operate with audits and verifications required for carbon credit reporting when applicable

The Thamani platform's operational value — including its support for carbon credit verification — depends on the accuracy and integrity of data entered by all users. Therefore:

• Wilful entry of false, misleading, or fraudulent data is strictly prohibited and may result in immediate account suspension and legal action
• Users who identify data entry errors must report them promptly through the proper correction workflows or by contacting their administrator
• Edscon Investment reserves the right to audit any data submissions made through the platform

By submitting data to the platform, you represent that to the best of your knowledge, the information provided is accurate and complete.

All content, technology, software, branding, logos, and materials available on the Thamani platform — including the Thamani brand name — are the exclusive intellectual property of Edscon Investment LTD and are protected under applicable Kenyan and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to access and use the platform solely for its intended operational purposes. This licence does not grant you the right to:

• Copy, reproduce, or distribute platform content or code
• Reverse-engineer, decompile, or disassemble any platform software
• Use the Edscon Investment or Thamani brand in any external communications without prior written consent
• Create derivative works based on any platform component

Operational data entered by users remains the property of the respective organisation, though Edscon Investment retains the right to use anonymised, aggregated data for reporting, research, and platform improvement.

The following actions are strictly prohibited and may result in immediate account termination and/or legal action:

• Attempting to gain unauthorised access to other users' accounts or restricted platform areas
• Submitting false, fraudulent, or manipulated waste collection or operational data
• Using automated bots or scripts to interact with the platform
• Conducting any activity that disrupts, overloads, or damages platform infrastructure
• Uploading malicious code, viruses, or harmful software of any kind
• Using the platform for any unlawful purpose or in violation of Kenyan law
• Attempting to circumvent, disable, or interfere with security features
• Impersonating another user, administrator, or Edscon Investment employee

The Thamani platform records financial accruals, payments, and subscriptions related to biogas delivery and fertilizer purchases. By transacting through the platform:

• You confirm that all payment details submitted are accurate and authorised
• Accrual records generated by the platform are considered the authoritative record of your account balance and transaction history
• Any disputes regarding payments or accruals must be raised within 30 days of the transaction by contacting info@edsconinvestment.com
• Edscon Investment reserves the right to adjust pricing for services with reasonable advance notice

To the maximum extent permitted by Kenyan law, Edscon Investment LTD shall not be liable for:

• Any indirect, incidental, consequential, or punitive damages arising from platform use
• Loss of data resulting from user error, system failure, or third-party actions
• Business decisions made based on platform data or reports
• Temporary service unavailability due to maintenance, upgrades, or technical issues

Where liability cannot be excluded, our total liability shall not exceed the amount paid by you to Edscon Investment in the 3 months preceding the event giving rise to the claim.

Edscon Investment reserves the right to suspend or permanently terminate your account at any time, without prior notice, if we determine that you have violated these Terms, engaged in fraudulent activity, or acted in a manner harmful to the platform or its users.

You may request account deactivation at any time by contacting info@edsconinvestment.com. Upon termination, your access to the platform will be revoked. Operational data associated with your account may be retained as required by law or for carbon credit audit purposes.

These Terms of Use are governed by and construed in accordance with the laws of the Republic of Kenya. Any disputes arising out of or in connection with these Terms shall first be subject to good-faith negotiation between the parties.

If resolution cannot be reached within 30 days of the dispute being raised, the matter shall be referred to mediation under the Nairobi Centre for International Arbitration rules, or to the competent courts of Kenya as applicable.
